1. Operator and scope of the Terms
1.1 The service provider and contracting party is Zodi Labs SA, with its registered office at ul. Wilcza 42/12, 00-679 Warsaw, Poland, entered in the register of entrepreneurs under KRS number 0001147187, tax identification number NIP 5214100693 and REGON number 540597698 (the “Operator”). General enquiries: info@zodi.chat. Account support, complaints, withdrawal and account deletion: support@zodi.chat. Personal data protection and individual rights enquiries: dpo@generation9.co.
1.2 These Terms govern use of the Zodi websites and application, in particular at www.zodi.chat and app.zodi.chat (together, the “Service”), and purchases of subscription plans and additional credit packages. The Privacy Policy explains personal data processing; making it available does not request blanket consent to all processing.
1.3 The Service is a tool for business and professional use in influencer marketing. Where an individual benefits from mandatory consumer protection, the professional purpose of the Service, a tax identification number or a statement that the purchase is for business purposes does not remove that protection.
2. Key definitions
2.1 “Customer” means the person or entity contracting with the Operator; “User” means an adult using an account on their own behalf or on behalf of a Customer. “Plan” means the purchased features, access period and allowances in the offer accepted at purchase. “Billing Period” means the period covered by a payment; “Allowance Period” means the allowance reset cycle specified in the Plan.
2.2 “Credits” are units of allowance for specified features. Subscription Credits form part of a Plan. Additional Credits come from a separately purchased package. Credits are not money, electronic money, a payment instrument or a claim redeemable for cash; they cannot be resold or transferred between accounts without agreement with the Operator.
2.3 “Protected Customer” means a consumer and, to the extent provided by applicable law, an individual entrepreneur for whom the particular contract is not of a professional nature, or another person entitled to mandatory consumer protection. “B2B Customer” means a Customer who does not have that protection under the particular contract.
3. Accounts and age requirements
3.1 The Service may be used only by persons aged 18 or over who have full legal capacity. Parental or guardian consent does not replace the age requirement. A person acting for a company must be authorised to enter into the contract and use its data.
3.2 An account requires accurate information and successful authentication. Access may be subject to application review or a waiting list. An application alone does not grant access or make a purchase. The account agreement is concluded when these Terms have been accepted and the Operator activates the account. Login and authentication are handled through Kinde; the available methods are shown on the login screen. The Privacy Policy explains processing by authentication and hosting providers; these providers do not replace Zodi Labs SA as the contracting party for the Zodi service.
3.3 The User must protect login credentials, prevent unauthorised account sharing and promptly report suspected account compromise. Use requires internet access and an up-to-date browser supporting JavaScript and necessary session mechanisms. Any specific feature requirements are disclosed when that feature is offered.
4. Service trial and campaign delivery by Generation9
4.1 Zodi supports creator discovery and analysis, audience assessment, preparation of materials and campaign planning using data and AI. The particular access scope follows the Plan. Use of Zodi alone does not include agency campaign delivery or the Operator entering into contracts with creators, and does not guarantee their availability, final fees or campaign results. Clauses 4.4–4.8 describe separately commissioning campaign delivery through the Generation9 brand.
4.2 The standard free trial lasts 14 days from activation of trial access by the Operator, including where activation precedes the first login. The activation time and end date are communicated to the User. Different promotional conditions apply only if clearly presented before participation.
4.3 The trial has its own allowance and does not renew automatically. When it ends, no Plan payment is collected without a separate purchase by the Customer. Unused trial Credits do not carry over to a paid Plan. Purchasing a Plan ends the remaining trial when paid access starts, unless the offer states otherwise.
4.4 The Customer may submit any campaign prepared in Zodi to Generation9, an agency operating as a brand of Zodi Labs SA, for consideration for delivery. Agency information and contact details are available in English at https://www.generation9.co/en and in Polish at https://www.generation9.co. For this procedure, Generation9 is not a separate contracting entity; Zodi Labs SA is the party to any resulting agency agreement.
4.5 Submitting a campaign, brief, creator list or materials generated in Zodi, and acknowledging receipt, constitute only an enquiry about possible cooperation. They do not conclude a campaign-delivery contract, accept a campaign for delivery, reserve creators or create an obligation to pay agency or creator fees. A commitment to deliver a campaign arises only when authorised representatives of both parties sign a separate agreement or order setting out the agreed conditions. This does not exclude obligations arising by law, in particular concerning data protection, confidentiality and negotiations.
4.6 Before the final creator roster and campaign budget are agreed, the Generation9 team verifies and confirms the selected creators’ availability, current fees and cooperation conditions, and fit with the Customer’s brief. Zodi data, recommendations and estimates are a starting point and may differ from conditions confirmed by creators. If a selected creator is unavailable, cooperation conditions do not meet the assumptions or the fit is insufficient, the agency may propose alternative creators. Changes to creators, scope or budget require agreement with the Customer; submitting a campaign does not authorise unrestricted substitutions.
4.7 Agency discussions, conclusion of the agreement or order, and campaign delivery and settlement take place outside the Zodi application. The separate agreement or order defines the work, remuneration, budget, schedule, rights to materials, campaign-change and cancellation rules, and the parties’ liability. The Zodi Plan fee does not include agency services or creator fees unless the parties expressly agree otherwise. Zodi subscription conditions, including Credit allowances and the liability limitations in these Terms, do not automatically become conditions of agency services.
4.8 Submission to Generation9 is made at the Customer’s request and covers only the specified campaign and information needed to handle the enquiry. It does not automatically give the agency team access to the entire chat history or all account files. The Customer should have the right to provide the submitted materials and limit third-party personal data to what is necessary. The Privacy Policy explains processing when handling the submission; submission alone is not consent to unrelated marketing.
5. Pricing taxes and paid contracts
5.1 Price amounts are not part of these Terms. Current prices, currencies, features, allowances and period lengths are shown in the price list or offer and the purchase summary. The conditions accepted at purchase form part of the particular contract. Publishing a new price list does not itself change an existing contract price.
5.2 Base prices in the business offer are net of tax. Tax is determined in the Stripe payment form under applicable law, the place of taxation, the buyer’s status and verified tax details. The final amount including applicable tax is shown before payment confirmation. Where the law requires total prices to be displayed earlier, particularly in a consumer offer, that requirement applies.
5.3 The Customer provides accurate, current billing details. A VAT number does not guarantee an exemption or reverse charge. A paid contract is concluded by expressly confirming an order with an obligation to pay. Confirmation of the contract, its conditions and the accepted version of these Terms is supplied on a durable medium, in particular by email.
6. Stripe payments and renewals
6.1 Payments, subscriptions and refunds are handled by Stripe. For services supplied to the Operator in Poland, the relevant entities are Stripe Payments Europe, Limited and, for regulated payment services, Stripe Technology Europe, Limited. Both companies have their registered office at One Wilton Park, Wilton Place, Dublin 2, D02 FX04, Ireland. Zodi Labs SA remains the seller of Zodi services and the Customer’s contracting party. Information about Stripe’s processing is available in the Stripe Privacy Policy at https://stripe.com/privacy; Zodi’s disclosure of data is explained in the Zodi Privacy Policy. Using an external payment provider does not limit the Customer’s statutory rights against Zodi Labs SA. Available payment methods are shown in the Stripe form. Zodi does not require full card details in chat or by email. Sales documentation is issued as required by law.
6.2 The subscription is paid in advance and renews for the Billing Periods disclosed at purchase until the Customer disables renewal. By confirming a recurring purchase, the Customer authorises collection of subsequent amounts due for the selected Plan. An additional Credit package is a one-off purchase unless a separate offer expressly states otherwise.
6.3 Access starts after payment confirmation and satisfaction of the conditions for commencement, including the early-start rules in section 11. A failed payment may be retried for the same amount due. Access may be restricted or suspended and the subscription terminated; we provide the reason and instructions for restoring access. A retry is not a new purchase and does not authorise duplicate collection.
7. Allowances and Credits
7.1 Subscription Credits reset at the beginning of each Allowance Period. Any unused balance expires at the end of that period, does not accumulate and does not roll over. The Allowance Period and remaining allowance are shown in the account.
7.2 Credit usage depends on the number and complexity of the system features used and the complexity of chat conversations. Credit usage increases as an individual chat gets longer. The Customer can monitor Credit usage on an ongoing basis for each chat and by hour, day and month. The Operator applies hourly and daily Credit usage limits, which may change as the system develops.
7.3 The Service records Credits used by activated features and updates the balance. One request does not necessarily equal one Credit; usage may vary between actions. The Customer may dispute a charge to the allowance; the Operator explains the record and corrects confirmed errors.
7.4 Exhausting an allowance may block further metered actions until renewal, purchase of an additional package or a Plan change. It does not automatically buy Credits or create a charge beyond the accepted order. Rate or concurrency limits disclosed in the Service may apply; they must not deprive the Customer of the agreed service scope.
7.5 Usage caused solely by an erroneous duplicate record of the same operation is not charged twice. Complaints about failed or interrupted actions are assessed against what was actually performed and made available. Merely not using a properly available allowance does not entitle the Customer to extended access or a refund, subject to sections 11 and 15.
8. Plan and price changes
8.1 Before changing Plans, the Customer receives information about the price, effective date, renewal and effect on remaining allowances. A standard upgrade charges the full fee for a new period, starts that period on the change date and replaces the unused Subscription Credit allowance of the previous Plan without rollover or a pro rata credit. The balance of separately purchased Credits remains. The change requires the Customer’s express confirmation.
8.2 A downgrade takes effect from the next Billing Period unless different conditions were disclosed and accepted before confirmation. The existing Plan applies until then.
8.3 New prices apply to new purchases. A price increase for an existing subscription requires prior notice and express acceptance before collection at the new price. Without acceptance, existing entitlements continue to the end of the paid period and the subscription does not renew at the new price. A change to a tax rate follows applicable law and is shown separately.
9. Cancelling renewal and ending access
9.1 The Customer may disable renewal in billing settings before the next charge. If that function is unavailable, a request may be submitted to support@zodi.chat. Cancellation takes effect at the end of the paid period and does not remove access for that period. It is not statutory withdrawal or an automatic account-deletion request.
9.2 When trial or paid access ends, both new actions and access to history in the application may become unavailable. Access restriction does not mean immediate deletion of data. Users should export their own materials before access ends; requests to recover their own content may be sent to support@zodi.chat, and personal data requests to dpo@generation9.co, without a further purchase.
9.3 On termination, the Operator settles amounts due, refunds and remaining entitlements according to their legal basis. Subscription cancellation, payment refund and Credit adjustment are separate accounting actions and must not result in duplicate collection or refund of the same amount.
10. Account deletion
10.1 Account deletion may be requested at support@zodi.chat, preferably from the account email address. We may request only information needed to verify identity or authority securely. Passwords and full card details must not be sent.
10.2 A request to close an account permanently also covers stopping future renewals associated with it. We agree the closure date if the Customer wants access until the paid period ends. An unclear request is clarified before irreversible deletion. Account deletion does not itself refund fees or extinguish amounts lawfully due; statutory rights remain unaffected.
10.3 The Privacy Policy explains the scope of deletion and separate retention required by law or necessary for claims. After permanent deletion, account history and unused entitlements will no longer be accessible; before deletion we explain those effects and enable applicable rights to content.
11. Statutory withdrawal and payment for services performed
11.1 A Protected Customer may withdraw from a distance contract for a paid service within 14 days of its conclusion without giving a reason, subject to statutory exceptions and extensions. An earlier free trial does not replace this right. An unambiguous statement sent before the deadline to support@zodi.chat or the Operator’s postal address is sufficient. The model form at the end of these Terms may be used.
11.2 Starting the paid service before that period ends requires a separate express request from the Protected Customer and advance information about the payment consequences. Acceptance of these Terms does not replace that request or entail the loss of the right of withdrawal. Without the request, performance starts after the withdrawal period; the purchase and access period must reflect that date.
11.3 Where the statutory conditions for charging for performance started at that request are met, the refund is reduced by the remuneration lawfully due in proportion to performance actually delivered before withdrawal. A record of properly used Credits may evidence completed operations. Erroneous deductions, free Credits and unperformed services are excluded.
11.4 The proportion of the Credit allowance used may be used to determine an amount due only where and to the extent it reflects properly priced performance and is permitted by mandatory law. The percentage of a subscription allowance used does not automatically justify deducting the same percentage of the entire fee. Where applicable law requires a time-based calculation for the particular contract, that calculation applies. The Operator provides the Customer with the basis for the amount due and its calculation.
11.5 The refund is made no later than 14 days after receipt of the withdrawal statement, normally using the same payment method and without a refund fee. No costs are charged where prohibited by law, particularly in the absence of a required request or information. Stripe fees are not deducted separately and the same performance is not counted twice.
11.6 Using the entire Credit allowance does not automatically mean full performance of an ongoing subscription service or loss of statutory withdrawal. Loss of the right after full performance is possible only when all statutory requirements are met. Withdrawal ends the entitlements under the affected contract; the Customer stops using that service, while retaining applicable rights to recover their own content.
12. B2B Customer settlements
12.1 A B2B Customer has no consumer right to withdraw without cause. Ordinary cancellation of renewal does not entitle them to a refund for a properly available paid period. This does not exclude claims for non-performance or defective performance.
12.2 If the Operator agrees to early termination of a B2B contract with a partial refund, that refund is reduced proportionately for properly used Credits: the deduction is the fraction of the fee actually paid for the relevant period corresponding to Subscription Credits used out of the allowance granted for that fee. If the entire allowance has been used, the refund for that period is zero. This is a rule for an agreed early-termination settlement, not a limitation of liability for a defective service.
12.3 An additional package is settled separately if the agreement includes its refund, using the price actually paid for that package and the proportion of its Credits used. Credits from other periods are not added and the same value is not deducted twice. These B2B rules do not apply to a Protected Customer’s statutory withdrawal or replace a statutory price reduction or refund.
13. Permitted use confidentiality and rights
13.1 The Customer may submit briefs, budgets and other confidential business materials for which they hold the necessary rights and authority. The Operator processes them as needed to provide, secure and account for the service, subjecting authorised personnel to confidentiality duties. It does not use them to advertise other customers or publish them without a separate basis.
13.2 Users must not submit unlawful content, passwords, full payment-card details, special categories of personal data or personal data relating to criminal convictions and offences unless a particular feature and separate agreement expressly permit lawful processing. Circumventing safeguards or allowances, creating accounts to obtain the same trial repeatedly, reselling access or extracting data in bulk contrary to individuals’ rights and access conditions is prohibited.
13.3 The Operator retains rights in the platform and its databases to the extent provided by law. The Customer retains rights in its own materials and authorises their use only as needed to perform the contract. Outputs may be used for lawful business purposes, subject to third-party rights and required source attribution. The Operator does not guarantee exclusivity or copyright protection for every AI output.
13.4 Where the Operator processes personal data solely on documented instructions from a Customer acting as controller, the parties agree data processing terms under GDPR Article 28 before the Customer provides those data. These Terms and acceptance of the Privacy Policy do not replace a required data processing agreement. The Privacy Policy sets out personal data rules, including processing locations and rules for transfers outside the EEA.
14. AI outputs usage risks and liability
14.1 Zodi uses artificial intelligence whose outputs are probabilistic. Responses, analyses, recommendations, summaries and materials may contain errors, omissions, outdated information, false statements, non-existent sources or unsupported conclusions, even when presented convincingly. Similar questions may produce different answers. The Customer acknowledges and accepts the risk of such errors as a feature of AI technology, subject to the rights preserved in clause 14.12.
14.2 Zodi outputs are supporting information and working materials. Recommendations are not binding instructions, a guarantee of results, an offer from a creator or an assurance by the Operator that a proposed action will be profitable or lawful. They do not replace professional legal, tax or financial advice or independent checks of a business partner. An AI-generated response does not amend the contract, prices or the scope of the Operator’s obligations.
14.3 The Customer independently decides whether and how to use Zodi and its outputs in its own business, at its own commercial risk and with responsibility for its decisions. Before publication, expenditure, entering a contract or otherwise using an output, the Customer should verify material facts, sources, calculations, assumptions, content and image rights, and advertising and personal data requirements. An output requiring such verification should not be the sole basis of a decision. The Customer ensures appropriate human oversight and obtains specialist advice where needed. This does not remove the Operator’s obligations preserved in clause 14.12.
14.4 Creator and audience data, engagement metrics, reach, classifications, rankings and cost estimates may rely on historical data, samples, models and external sources. They do not guarantee completeness, representativeness or consistency with a profile’s current state. An assessment or label describing a profile as verified relates to the stated scope of analysis; it does not guarantee identity, the authenticity of all followers, the absence of reputational risks, the lawfulness of all posts or a creator’s future conduct. Creator collaboration prices are generated by Zodi algorithms based on account parameters and other publicly available information, using machine learning training methods and AI. They are estimates, not binding offers from creators.
14.5 The Operator does not guarantee any particular sales, conversions, reach, engagement, savings, return on investment or other campaign outcome. It also does not guarantee a creator’s availability, acceptance of a proposed budget, entry into a collaboration or proper performance of a contract by a creator or other business partner. The Customer independently negotiates and approves collaboration terms, budgets, content and campaign execution and is responsible for its own commitments to business partners.
14.6 The Service may be affected by maintenance, updates and limitations arising from networks, social platforms and external interfaces. The Operator does not guarantee complete freedom from errors, uninterrupted availability or identical outputs after model updates. A guaranteed availability level or specific performance deadline applies only if expressly agreed in the contract. This does not release the Operator from providing the agreed functionality or from its service maintenance and security obligations.
14.7 The Customer is responsible for the accuracy and lawfulness of submitted materials, its Users’ authorisations, and the security of devices and access credentials under its control. It should retain its own copies of documents and outputs important to its business; the Service is not an archiving or backup service unless expressly agreed otherwise. The Customer’s obligations do not replace the Operator’s confidentiality, personal data protection, security or agreed data storage obligations.
14.8 The Operator may proportionately restrict a feature or account for a security threat, unlawful use, allowance circumvention or an overdue payment. Unless immediate action is needed, it requests that the breach be remedied. It gives the reason and an opportunity to explain, unless disclosure is prohibited by law. Exercising withdrawal or complaint rights is not itself abuse.
14.9 Only in dealings with a B2B Customer, to the extent permitted by law and subject to clause 14.12, the Operator is not liable for loss arising from the Customer’s independent business decisions, use of outputs without the required verification, publication or modification of outputs by the Customer, inaccurate or incomplete inputs, missing rights or consents, use contrary to the Service’s intended purpose or these Terms, or compromise of devices or accounts for reasons attributable to the Customer. This exclusion also covers non-performance by creators and business partners selected by the Customer and events beyond the Operator’s reasonable control that it could not prevent despite exercising due care. It applies only to the extent that the loss results from the relevant cause.
14.10 Only in dealings with a B2B Customer, to the extent permitted by law and subject to clause 14.12, the Operator’s liability for damages excludes lost profits, revenue, expected savings, business opportunities or contracts, reputational damage, business interruption and failure to achieve campaign objectives. The exclusion also covers campaign and creator expenditure that did not produce the expected result, and business partners’ claims and contractual penalties arising from commitments independently undertaken by the Customer. This clause does not exclude the settlement and repayment obligations preserved in clause 14.12.
14.11 Only in dealings with a B2B Customer, to the extent permitted by law and subject to clause 14.12, the Operator’s aggregate liability for damages under the particular contract is limited to the fees actually paid to the Operator by the Customer under that contract during the 6 months immediately preceding the event giving rise to the loss. This is a shared cap for all claims arising from the same event or related events, regardless of their number, legal basis or the number of Users, chats or operations. For related events, the 6-month period is measured before the first event. If the contract has been in force for less time, the fees actually paid from its conclusion until the event are counted. The cap applies to contractual and, to the extent permitted by law, non-contractual liability.
14.12 The liability exclusions and monetary cap in clauses 14.9–14.11 do not apply to a Protected Customer, intentionally caused damage, personal injury or liability that cannot lawfully be excluded or limited. They do not restrict data subjects’ rights or liability to them under the GDPR. Nothing in this section removes the obligation to provide the agreed service, personal data protection and confidentiality duties, repayment of undue amounts, price reductions or refunds that are due, or complaint and withdrawal rights under mandatory law. Accepting the risk of AI errors does not waive those rights or constitute acceptance of any failure to perform the contract.
15. Complaints and service conformity
15.1 Complaints about Zodi, payments or Credit deductions may be submitted to support@zodi.chat or the Operator’s postal address. Helpful information includes the account email, a description, approximate date and order identifier if available. Missing information not required by law does not automatically invalidate a complaint. We respond on a durable medium within 14 days of receipt; applicable legal consequences of failing to respond remain unaffected.
15.2 A Protected Customer has statutory rights where the digital service is not supplied or is not in conformity with the contract, including requiring the service to be brought into conformity and, in the circumstances provided by law, a price reduction or termination of the contract. These rights cannot be limited merely because Credits have been used or made conditional on purchasing access again.
15.3 Consumers may obtain assistance from a consumer ombudsman and competent alternative dispute-resolution bodies; information is available at https://polubowne.uokik.gov.pl. The Operator provides its position on participation in a relevant procedure as required by law. The complaints process does not prevent court proceedings.
16. Changes to the Terms and final provisions
16.1 These Terms may change because of legislation, security duties, necessary technology changes or feature development. Notice on a durable medium states the reason, scope and effective date at least 30 days in advance, unless binding law or an urgent security remedy requires earlier action. That exception is not used to increase prices or remove paid entitlements.
16.2 Changes are not retroactive. Consent required by law cannot be replaced by continued use alone. A digital-service change beyond what is needed to maintain conformity requires a contractual basis and valid reason, imposes no additional cost and is subject to statutory information duties and termination rights if it materially worsens use.
16.3 Polish law governs the contract without depriving a Protected Customer of mandatory protection under law that cannot be excluded by a choice of law.
16.4 Subject to clause 16.5, disputes between the Operator and a B2B Customer arising from the contract or relating to its conclusion, performance or termination are subject to the exclusive jurisdiction of the Polish courts and shall be resolved by the ordinary court with subject-matter and territorial competence for the Operator’s registered office in Warsaw. This clause applies provided that the choice-of-court or jurisdiction agreement has been validly concluded in the form required by applicable law. It does not override exclusive jurisdiction or venue prescribed by mandatory law.
16.5 Clause 16.4 does not apply to a Protected Customer; the competent court in a dispute with that Customer is determined by applicable law. Nothing in these Terms limits a data subject’s right to complain to a competent supervisory authority or bring proceedings before a court competent under the GDPR. The choice-of-court clause does not bind creators or other persons who are not parties to a contract with the Operator.
16.6 The Polish and English versions are intended to have the same meaning; translation discrepancies do not limit rights under the accepted offer or the law.
17. Model withdrawal form
